Welcome to GroupTrack CRM, a software platform operated by Organic Sales System, Inc. (formerly GroupTrack Inc.) (“Organic Sales System,” the “Company,” “us,” “our,” or “we”). GroupTrack is a customer relationship management software (“Software”) located at https://www.grouptrackcrm.com (the “Site”).
The Company provides access to the Software and manages customer subscriptions in addition to offering related programs and services (collectively, the “Services”).
These Terms of Use (“Terms”) set forth the legally binding terms governing your access to and use of the Services and Software. By accessing or using the Services or Software, you agree to be bound by these Terms and represent that you have the legal authority to enter into this agreement. If you do not agree to all provisions of these Terms, you must not access or use the Services. You must be at least 18 years old to use the Services.

Third-Party Social Media Providers
As part of the Software’s functionality, you may connect your account with third-party social media platforms (“Social Media Providers”). Your use of such platforms is governed by their respective terms of service (“Social Media Provider Terms”).
Organic Sales System, Inc. is not responsible for any activity occurring on your Social Media Accounts, including data loss, restrictions, or account limitations. Social Media Providers may modify their terms or restrict access at any time. We make no guarantees regarding continued compatibility with any third-party platforms.

Accounts
Account Creation
To access certain features, you may be required to create an account (“Account”). You agree to provide accurate and complete information and to keep such information updated.
Account Responsibilities
You are responsible for maintaining the confidentiality of your login credentials and all activity under your Account. You must notify us immediately of any unauthorized use. We are not responsible for losses resulting from unauthorized access due to your failure to secure your credentials.

Payment Terms
Subscriptions and Billing
Paid subscriptions automatically renew on a recurring billing cycle (typically every 30 days) unless canceled before renewal. Pricing and subscription tiers may change at our discretion with notice.
Trials and Discounts
Free trials or discounted rates may convert to paid subscriptions unless canceled before the trial ends.
Refunds
All payments are non-refundable except where required by law or granted at our sole discretion.
Subscription Limits
Subscription tiers may be based on usage limits, including contact volume. Exceeding limits may result in account suspension or additional charges.
Payment Processing
Payments are processed by third-party processors such as Stripe and are subject to their terms and privacy policies.
Chargebacks
Initiating a chargeback without first contacting support constitutes a breach of these Terms and may result in immediate account termination.

Loss of Data or Content
Termination or cancellation of your Account may result in loss of data. You are solely responsible for backing up your data. We are not liable for data loss following account termination.

Indemnification
You agree to indemnify and hold harmless Organic Sales System, Inc. and its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or violation of applicable laws or third-party terms.

Consent to Electronic Communications
You consent to receive communications from us electronically, including email, SMS, or in-app notifications. You may opt out of non-essential communications at any time.

THE SERVICES AND SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability
IN NO EVENT SHALL ORGANIC SALES SYSTEM, INC.’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE THREE (3) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

Term and Termination
We may suspend or terminate your access at any time for violation of these Terms. Upon termination, all licenses granted herein terminate immediately.

Legal Disputes and Arbitration
All disputes arising from these Terms shall be governed by the laws of the State of Florida. Disputes shall be resolved through binding arbitration administered by the American Arbitration Association, except where small claims court applies.
Claims must be brought on an individual basis only. Class actions are not permitted.

Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including acts of God, pandemics, or infrastructure failures.

General Provisions
Changes to Terms
We may update these Terms at any time. Continued use of the Services constitutes acceptance of updated Terms.
Severability
If any provision is unenforceable, the remaining provisions remain in effect.
Assignment
We may assign these Terms to affiliates or successors. You may not assign without consent.
Entire Agreement
These Terms constitute the entire agreement between you and the Company regarding the Services.
